Terms of Service

1. Acceptance of Terms

By registering an account, connecting your AI workflows via our SDKs or APIs, or otherwise using VigilAgent ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Account Responsibilities

• You must provide accurate, complete, and current information when creating a VigilAgent account.
• You are solely responsible for maintaining the confidentiality of your account credentials, login credentials, and API keys used to transmit telemetry data.
• You accept responsibility for all activity occurring under your account or API tokens.
• You agree to notify us immediately at hello@vigilagent.dev if you suspect any unauthorized access to or compromise of your account or API keys.

3. Acceptable Use

You agree to use VigilAgent only for legitimate agent observability, cost optimization, and performance tracking purposes. You agree not to:

• Use the Service for any unlawful, fraud, or unauthorized purpose.
• Attempt to decompile, reverse engineer, or disable any security features of the platform or SDKs.
• Interfere with or disrupt the integrity or performance of VigilAgent servers or APIs through denial-of-service (DDoS) attacks or deliberate infrastructure overload.
• Transmit sensitive personally identifiable information (PII) or classified data within trace payloads in violation of applicable data privacy laws.

4. Intellectual Property

VigilAgent and its original code, designs, logos, analytics tools, and documentation are the exclusive property of VigilAgent and its licensors.

You retain all ownership rights to your proprietary application code, AI agent logs, prompt payloads, and operational metrics submitted to VigilAgent. By sending data to the Service, you grant VigilAgent a limited license to process, store, and display such data solely to provide, maintain, and improve the monitoring services for your account.

5. Payment Terms & Merchant of Record

VigilAgent offers free tier access and paid subscription plans for higher trace volumes and advanced monitoring features.

Our order process and payment transactions are conducted by our online reseller and Merchant of Record, Paddle (Paddle.com Market Ltd). Paddle provides all customer service inquiries and handles billing returns.

• By selecting a paid plan, you authorize Paddle to charge your designated payment method on a recurring monthly or annual billing cycle.
• Subscriptions automatically renew unless cancelled prior to the renewal date via your billing portal or settings page.
• All fees are exclusive of applicable taxes unless stated otherwise. Refunds are handled in accordance with Paddle's buyer terms and VigilAgent billing policies.

6. Limitation of Liability

To the maximum extent permitted by law, VigilAgent provides the Service on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.

In no event shall VigilAgent, its officers, directors, or employees be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data corruption, agent runtime downtime, or errors caused by third-party LLM vendors, exceeding the total amount paid by you to VigilAgent in the twelve (12) months preceding the claim.

7. Termination

We reserve the right to suspend or terminate your access to VigilAgent at our sole discretion, without prior notice, if you breach these Terms or engage in abusive platform activity. You may terminate your account at any time by cancelling your subscription or contacting customer support. Upon termination, your right to access the platform will cease immediately.

8. Governing Law

These Terms shall be governed, construed, and enforced in accordance with the laws of Delaware, United States, without regard to its conflict of law principles. Any legal actions or proceedings related to the Service shall be subject to the exclusive jurisdiction of courts located in Delaware.

9. Changes to Terms

We reserve the right to update these Terms of Service from time to time. We will notify you of any material changes by updating the "Last updated" date at the top of this page or by sending an email notification. Continued use of VigilAgent after updates become effective constitutes acceptance of the new Terms.
